By engaging our Services, signing a proposal/quote, making payment, or using our website (bittusdigitalagency.online), you agree to be bound by these Terms, along with our Privacy Policy. These Terms form the entire agreement between the parties (unless superseded by a signed separate contract). We may update these Terms from time to time; continued use of Services after changes constitutes acceptance. Services include but are not limited to SEO, social media management, PPC/Google Ads campaigns, content creation, web design/development, and digital strategy consulting.
The Agency will provide Services as described in the applicable proposal, quote, invoice, or statement of work (“SOW”) agreed upon by both parties. You grant us necessary access to your accounts (e.g., Google Analytics, Meta Business Suite, website backend) solely for performing Services, and you remain responsible for account security and compliance. We act as an independent contractor; no employment, partnership, or joint venture is created. You agree to provide timely feedback, content, approvals, and materials required for Services. Delays caused by you may extend timelines and affect deliverables without liability to us. We reserve the right to refuse or modify Services if they violate laws, platform policies (e.g., Google Ads, Meta), or ethical standards. Intellectual property created during Services (e.g., ad creatives, content, custom code) remains our property until full payment; upon full payment, you receive a non-exclusive license for use in your business (unless otherwise specified in SOW). Third-party tools/platforms (e.g., Google, Meta) are governed by their own terms.
Payment terms are outlined in each invoice or SOW. Fees are non-refundable except as expressly stated. You agree to pay 50% advance (or as agreed) before work begins, with balance due upon milestones or completion. Late payments attract 1.5% monthly interest and may suspend Services without notice. All fees exclude GST and other taxes, which you are responsible for. Advertising budgets (e.g., PPC spend) are paid directly by you to platforms unless we manage on your behalf (with clear reimbursement terms). We do not guarantee specific results (e.g., rankings, leads, ROI) as digital marketing depends on many external factors like algorithms, competition, and market changes. No warranties, express or implied, are provided beyond reasonable skill and care in performing Services.
We are not liable for any indirect, consequential, incidental, or punitive damages, including lost profits, business interruption, or data loss, arising from Services. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim. You indemnify and hold us harmless from claims arising from your content, business practices, or misuse of Services (e.g., copyright infringement, misleading ads). We may terminate Services immediately for non-payment, breach, or illegal activity, with you liable for all outstanding fees. Either party may terminate with 30 days’ written notice; upon termination, you pay for completed work, and we hand over accessible deliverables (subject to full payment). Post-termination, ongoing campaigns may pause or require handover fees.
These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Bengaluru, Karnataka. Disputes shall first attempt resolution through good-faith negotiation; failing that, arbitration under the Arbitration and Conciliation Act, 1996, in Bengaluru.
